Why sell a portion of your practice to a PE firm? 

When deciding to expand your practice to help more patients and grow your services, choosing which route to go can be overwhelming. Since 2016, independent gastroenterology practices have been choosing to partner with investment firms for the following reasons:

  1. Since gastroenterology is a highly fragmented specialty and has many small and mid-sized groups, they could be consolidated into larger practice entities that can create favorable scalability for a practice. 
  2. Ancillary services can provide multiple revenue streams that can be packaged into a comprehensive, high-quality gastroenterology practice that offers high value for patients and can be delivered outside of a hospital environment.
  3. With a growing need for gastroenterology care with increasing demand for chronic GI disease management (fatty liver disease, inflammatory bowel disease, obesity management, etc.) and increasing demand for colon cancer screening, having an investor can help fund testing, medical equipment, and treatments. 
  4. With gastroenterology and other sectors of the healthcare market rapidly consolidating, the current market is looking favorable and now is a good time to grow while maintaining your independent practice.

What does a PE acquisition mean for an independent gastroenterology practice? 

So you’re interested in selling your medical practice to a private equity firm to “monetize” your practice, as well as to access capital and obtain operational efficiencies. But what does that mean for your practice, exactly?  

To start, only well-managed practices will be purchased throughout a defined geographic area, which means your practice will join other well-managed practices in order to increase the number of employed physicians. The idea is to grow your revenue and decrease cost. While the physician group relinquishes managerial control of the nonclinical decisions through the managed services agreement with the MSO, clinical and medical decisions will remain within the control of the physicians. The clinical management board or committee is composed of physicians and private equity representatives and will have the authority to address certain issues. 

Compensation

How does compensation work? 

After closing, the physicians will become employees of the private equity buyer and in return for an up-front purchase price, typically a physician will be paid an annual compensation with guaranteed salaries for a period of time negotiated. Compensation can be based on a wide variety of factors, such as collections from personally performed services, plus a percentage of ancillary revenue and/or a percentage of overall profits. 

Patients

How does PE acquisition affect patients? 

From the perspective of the patient, there will be no difference in how they are cared for because they are the primary focus of the partnership. The first goal of the private equity firm is to take care of the patient and keep high-quality care in place, followed by the financial benefits for both parties. It’s in the interest of both the PE group and the physicians to ensure that practice culture is not negatively impacted through the acquisition. 

Physicians retain complete autonomy when it comes to clinical decisions, and the PE group avoids interfering in patient-doctor relationships. The PE group’s goal is to improve the non-clinical management of the practice without interfering with the actual care of the patient. Physicians may also influence nonclinical decisions as well; however, the final decisions are up to the MSO or PE firm.
